Terms of Service

Eligibility.

To use the Service, you must be at least 18 years old, or such age as required by applicable law.

ScriptSig Services.

The main function of the Service is to secure cryptographic keys and cosign bitcoin transactions pursuant to User approval. The two major constituent parts of the Service include:

1. “The Website”, where users access their account by logging in to scriptig.io and can perform actions such as confirming pending bitcoin transactions generated via The API.
2. “The API”, where a user, or third-party application can act on behalf of a user’s account to perform actions such as provisioning cryptographic key pairs and initiating bitcoin transaction “Cosigning Requests”.

Limited Use License.

ScriptSig grants you a limited, non-sublicensable, non-exclusive, non-transferable, revocable license, subject to these Terms, to access and use the Service, related content, materials, and information (collectively referred to as the “Content”).

Termination.

ScriptSig reserves the right to terminate your account and license to use this Service at any time for any or no cause.

Prohibited Use.

The User shall not abuse the Service. Abuse is determined at the sole discretion of ScriptSig. The User must not encumber bitcoins (on any network) in a script that can be unilaterally controlled by cryptographic keys under the control of ScriptSig. Unilateral control includes any script that satisfies at least one of the following conditions:

1. ScriptSig is able to block transfers of bitcoin by not providing transaction signatures. E.g. a 2-of-2 multisignature address where ScriptSig controls one of the two key pairs associated with such an address.
2. ScriptSig is able to fully authorize a bitcoin transaction using only the key pairs under its control. E.g. a 2-of-3 multisignature address where ScriptSig controls two of the three key pairs associated with such an address.

Disclaimer.

The Service is provided “as is” and ScriptSig makes no warranties, expressed or implied.

Limitation of Liability.

In no event will ScriptSig, nor any of its officers, directors, agents, employees and representatives, be liable to you for anything arising out of or in any way connected with your use of the Service, whether such liability is under contract, tort or otherwise, and ScriptSig, including its officers, directors, agents, employees and representatives shall not be liable for any indirect, consequential or special liability arising out of or in any way related to your use of the Service.

Indemnification.

You hereby indemnify to the fullest extent ScriptSig from and against any and all liabilities, costs, demands, causes of action, damages and expenses arising out of or in any way related to your breach of any of the provisions of these Terms.

Severability.

If any provision of these Terms is held by a court of competent jurisdiction to be invalid or unenforceable, the provision will be modified to the minimum extent necessary to make it enforceable. The provision will be disregarded only if such modification is not possible or is prohibited by law. The remaining provisions of these Terms will remain in effect.

Assignment.

ScriptSig shall be permitted to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification or consent required. However, you shall not be permitted to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

Variation of Terms.

ScriptSig is permitted to revise these Terms at any time as it sees fit, and by using the Service you are expected to review such Terms on a regular basis to ensure you understand all terms and conditions governing use of the Service.

Arbitration.

Any dispute between the User and ScriptSig arising out of or in relation to these Terms shall first try to be resolved amicably by contacting ScriptSig support via support@scriptsig.io. If we are unable to resolve a dispute, then the dispute will be resolved through binding arbitration on an individual basis. Arbitration shall be conducted in accordance with the American Arbitration Association’s rules for arbitration of consumer-related dispute.

Entire Agreement.

These Terms and any legal notices and disclaimers contained on this Website, constitute the entire agreement between ScriptSig and you in relation to your use of the Service, and supersede all prior agreements and understandings with respect to the same.

Headings.

Headings are for reference only and do not affect the meaning or interpretation of these Terms.

Governing Law.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas.
